Terms of Service

By accessing or using the Service, you confirm that you are at least 16 years of age, have read and understood these Terms, and agree to be legally bound by them. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Orchune is a personal finance management application that allows you to record income and expenses, manage multiple accounts, maintain shared ledgers, track investments, analyze financial reports, and use AI-assisted bookkeeping via a built-in Model Context Protocol (MCP) server. The Service is intended for personal, family, or small-business financial organization purposes.

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@orchune.com if you suspect any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.

You retain full ownership of all financial data, transaction records, account information, and other content you enter into the Service ("User Data"). We do not claim any intellectual property rights over your User Data. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your User Data solely to provide and improve the Service. We will not sell, rent, or share your User Data with third parties for their own commercial purposes.

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not: (a) use the Service for any fraudulent, illegal, or unauthorized purpose; (b) attempt to gain unauthorized access to any portion of the Service or its related systems; (c) transmit any viruses, malware, or other harmful code; (d) scrape, harvest, or collect data from the Service without our written consent; (e) use the Service to process, store, or transmit data that infringes the rights of any third party; or (f) interfere with or disrupt the integrity or performance of the Service.

The Service includes a built-in MCP server accessible via personal access tokens. You are solely responsible for the security and use of your access tokens. Tokens must not be shared with untrusted parties. We reserve the right to revoke tokens at any time for security reasons. Any automated access to the Service via the MCP server must comply with these Terms, and you are responsible for all actions performed through your tokens, including those initiated by AI assistants you authorize.

The Service, including its design, features, code, and content (excluding your User Data), is the exclusive property of Orchune and is protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on any part of the Service without our prior written permission. All trademarks, logos, and brand elements are owned by or licensed to Orchune.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and disclosure of personal information as described in the Privacy Policy.

Some features of the Service may be offered under a paid subscription plan. If you subscribe to a paid plan, you agree to pay the applicable fees as described at the time of purchase. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. We reserve the right to change our pricing with reasonable advance notice.

You may terminate your account at any time by following the account deletion process in the application settings. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other legitimate business reason. Upon termination, your right to use the Service will immediately cease. We may retain your data for a limited period following termination as required by law or for our legitimate business purposes.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, uninterrupted, secure, or free of viruses. Financial data and calculations provided by the Service are for informational purposes only and do not constitute financial, investment, tax, or legal advice. You should consult a qualified professional for such advice.

To the fullest extent permitted by applicable law, Orchune shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of goodwill, arising from or relating to your use of or inability to use the Service. Our total liability to you for any claims arising from or relating to the Service shall not exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) USD $100.

You agree to indemnify, defend, and hold harmless Orchune and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your User Data, or your violation of these Terms.

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if that fails, through binding arbitration or a court of competent jurisdiction.
